Terms of Use

These Terms of Use (“Terms”) govern the Erishan Jewels website, the Erishan Jewels mobile application for iOS and Android, and the Retail and Partner services available through them (together, the “Services”). By accessing or using the Services, creating an account, submitting a Partner application, or placing an order, you agree to these Terms and the policies linked below.

1. Erishan Jewels and eligibility

Erishan Jewels Ltd. is a Canadian fine-jewellery company serving Retail customers and approved jewellery-business Partners. You must provide accurate information, protect your credentials, and be legally able to enter the applicable transaction. Partner features may be used only by authorized representatives of an approved business.

2. Accounts and access

You are responsible for activity under your account and must notify us of suspected unauthorized access. Erishan may verify information, require additional authentication, limit or suspend access, revoke sessions, or decline an application or order where reasonably necessary for security, legal compliance, availability, or enforcement of these Terms.

3. Retail catalogue, product information, and pricing

Retail customers may browse products, configure eligible designs, save items, use the Bag, check out, review orders, and use available support and Try-On features. Product images, dimensions, weights, gemstone and diamond descriptions, colour, scale, availability, and delivery estimates are provided in good faith but may vary within reasonable jewellery and display tolerances. Screen colour and Virtual Try-On are illustrative and do not guarantee exact appearance or fit.

Prices, taxes, shipping, promotions, and availability may change before an order is accepted. Estimated or configurable items may require final validation. An order is not accepted until Erishan issues confirmation and any required payment is successfully authorized or received. We may correct genuine errors and will provide an appropriate cancellation or refund where required.

4. Retail payment and checkout

Retail payment is due through the checkout method shown at the time of purchase. Stripe provides the payment interface and processing where configured. Erishan does not receive or store full payment-card details entered through Stripe. Additional issuer, currency-conversion, tax, or import charges may be imposed by third parties.

5. Partner application, tiers, and authority

Submitting a Partner application does not guarantee approval, pricing, availability, a tier, catalogue access, or an order. Approved relationship labels are New Partner, Standard, Gold, and Signature. Tier, capability, pricing, rewards, and eligibility information shown by Erishan’s protected systems is authoritative and may be reviewed under the applicable programme rules. No informal statement overrides an approved written order or agreement.

6. Partner quotations and payment

Partner prices, minimums, specifications, production timing, shipping, and other terms are order-specific and become binding only when confirmed in an approved quotation, invoice, order confirmation, or agreement. Every Partner order requires 100% advance payment before sourcing, reservation, production, or shipment begins. Erishan does not provide deferred-payment, open-credit, memo, or consignment terms through the Services.

7. Shipping, returns, and order issues

Shipping, tracking, risk transfer, delivery, return eligibility, custom or personalized items, defects, and refunds are governed by the order confirmation and the Shipping & Returns Policy. Unless Erishan confirms otherwise, the recipient is responsible for accurate delivery information and any applicable destination duties, brokerage, or import charges. Statutory consumer rights are not limited.

8. Partner customer data and Customer Mode

A Partner must have lawful authority to enter or use customer and lead information, provide required notices, respect consent choices, limit access to authorized users, and use the data only for the disclosed jewellery-business purpose. Partners must not use Customer Mode to mislead a customer about product, price, availability, or who is responsible for the interaction. The Partner Data Processing Terms also apply.

9. Try-On, concepts, and generated content

Virtual Try-On, concept generation, previews, renders, and recommendations are illustrative tools. They do not guarantee manufacturability, scale, materials, fit, final colour, valuation, or availability. A concept becomes an order only after feasibility review, specifications, price, payment, and written acceptance. You must have rights and permission to upload any photo, logo, mark, engraving, or reference material.

10. Reviews and user content

You retain rights in content you submit, but grant Erishan a limited licence to host, process, reproduce, and display it as reasonably necessary to provide and moderate the requested Service. Reviews must reflect genuine experience and must not contain unlawful, misleading, private, infringing, or harmful material. We may remove content that violates these Terms or law.

11. Intellectual property

The Services, brand assets, catalogues, product imagery, software, text, layouts, and other Erishan materials are owned by or licensed to Erishan and protected by law. No right is granted except the limited, revocable right to use the Services for their intended purpose. Partner branding remains subject to the Partner’s rights and the permissions granted for the requested workflow.

12. Prohibited conduct

You must not misuse the Services; bypass access, tenant, pricing, or capability controls; scrape protected catalogues; submit false information; impersonate another person or business; upload malware or unlawful content; interfere with security or availability; reverse engineer except where law permits; infringe rights; or use the Services for fraud, spam, harassment, or unlawful activity.

13. Third-party services

The Services may depend on providers such as Stripe, Shippo, carriers, HubSpot, communications services, and configured AI/media providers. Their separate terms may apply to their services. Erishan is not responsible for an independent third party’s systems, but will address its own obligations under applicable law and contract.

14. Suspension and termination

You may stop using the Services and may request account deletion through the published process. Erishan may suspend or terminate access for breach, risk, non-payment, fraud, legal requirements, security, or discontinuation of a feature. Terms that by their nature should survive—including payment, intellectual property, disclaimers, liability, records, and dispute terms—continue to apply.

15. Disclaimers and liability

To the maximum extent permitted by law, the Services are provided on an “as available” basis. Erishan does not promise uninterrupted operation or that every product, feature, preview, Partner capability, or delivery estimate will always be available. Nothing in these Terms excludes warranties, remedies, or liability that cannot lawfully be excluded.

To the maximum extent permitted by law, Erishan is not liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or lost profits, revenue, data, or opportunity arising from the Services. Where a limitation is permitted, Erishan’s aggregate liability for a claim will not exceed the amount paid to Erishan for the order or Service giving rise to the claim. These limits do not apply where prohibited by law.

16. Indemnity

Business Partners agree to indemnify Erishan against third-party claims arising from their unlawful use of the Services, lack of authority over customer or uploaded data, infringement, or material breach of these Terms, except to the extent caused by Erishan.

17. Governing law and changes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without limiting mandatory consumer protections in your place of residence. Courts located in Ontario will have jurisdiction where legally permitted. We may update these Terms prospectively; material changes will be communicated where required. Continued use after the effective date means the updated Terms apply.
